The information provided on this site is provided without charge for informational purposes only and does not create any business or professional services relationship between you and Premium KPI. This website is operated by Premium KPI. Throughout the site, the terms “Premium KPI”, “we”, “us” and “our” refer to Premium KPI. Software

Use of any Software is governed by the terms of the license agreement that accompanies or is included with the Software, or by the license agreement expressly stated on the Website page(s) accompanying the Software. These license terms may be posted with the Software downloads or at the Website page where the Software can be accessed. You shall not use, download or install any Software that is accompanied by or includes a license agreement unless you agree to the terms of such license agreement. At no time will Premium KPI provide you with any tangible copy of our Software. Premium KPI shall deliver access to the Software via electronic transfer or download and shall not use or deliver any tangible media in connection with the (a) delivery, installation, updating or problem resolution of any Software (including any new releases); or (b) delivery, correction or updating of documentation. For the purposes of this section tangible media shall include, but not be limited to, any tape disk, compact disk, card, flash drive, or any other comparable physical medium. Unless the accompanying license agreement expressly allows otherwise, any copying or redistribution of the Software is prohibited, including any copying or redistribution of the Software to any other server or location, or redistribution or use on a service bureau basis. If there is any conflict between the Terms and the license agreement, the license agreement shall take precedence in relation to that Software (except as provided in the following sentence). If the Software is a pre-release version, then, notwithstanding anything to the contrary included within an accompanying license agreement, you are not permitted to use or otherwise rely on the Software for any commercial or production purposes. Some Software may be offered under an open source license that we will make available to you. There may be provisions in the open source license that expressly override some of these terms.

Certain Restrictions

The rights granted to you in the Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit Premium KPI Properties or any portion of Premium KPI Properties, including the Website, (b) you shall not frame or utilize framing techniques to enclose any trademark, logo, or other Premium KPI Properties (including images, text, page layout or form) of Premium KPI; (c) you shall not use any metatags or other “hidden text” using Premium KPI’s name or trademarks; (d) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of Premium KPI Properties except to the extent the foregoing restrictions are expressly prohibited by applicable law; (e) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from any web pages contained in the Website (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (f) except as expressly stated herein, no part of Premium KPI Properties may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; and (g) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in Premium KPI Properties. Any unauthorized use of Premium KPI Properties terminates the licenses granted by Premium KPI pursuant to the Terms.

Authorized Users

By using our site, you are forming an agreement with Premium KPI to follow our Terms of Use. When you create a profile on Premium KPI, you are obligated to provide us with accurate and complete information and will alert us if any of this information changes.

License

By using our site, which provides consent for our Terms of Use and associated policies, you are granted a license to use our services. This license is personal, limited, non-exclusive, non-transferable, and can be revoked at any time. The content that is shared with you by using our services, such as intellectual property at any type and course materials, is only for your personal, non-commercial use. These materials and associated content that we provide you with cannot be used for commercial purposes. When you use our services, you will not gain any intellectual property rights of content that you access on our site and associated outlets.

Submissions

You agree that any materials, including but not limited to questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials, or other information (other than personal identifying information subject to the Premium KPI Privacy Policy), provided by you in the form of e-mail or submissions to Premium KPI, or postings on this Web site, are non-confidential and shall become the sole property of Premium KPI. Premium KPI shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to you. The submission of any materials to Premium KPI, including the posting of materials to any forum or interactive area, irrevocably waives any and all 'moral rights' in such materials, including the rights of attribution and integrity.

Confidentiality

“Confidential Information” means any material, data, or information in whatever form or media of a party to this Terms of Use that is provided or disclosed to the other, including the following categories of information whether disclosed orally or in writing, regardless of whether marked as confidential: algorithms, source code, specifications, software, test results, technical know-how, business or marketing plans, pricing, network configurations, network architecture, financial and operational information, trade secrets, and other matters relating to the operation of the parties’ business, including information relating to actual or potential customers and customer lists, customer usage or requirements, business and customer usage forecasts and projections, accounting, finance or tax information, pricing information, and any information relating to the corporate and/or operational structure of Customer; “Confidential Information” does not include information which: (a) becomes publicly known through no act or omission of the receiving party; (b) was in the receiving party's lawful possession prior to the disclosure and had not been subject to limitations on disclosure; (c) is disclosed hereafter to the receiving party by a third party when the receiving party has no knowledge of any impropriety; or (d) is developed independently without using the Confidential Information. All Confidential Information belonging to one party and disclosed to the other party remains the sole property of the disclosing party, and its confidentiality shall be maintained and protected by the recipient with the same effort used to protect its own Confidential Information. Each party must take all steps reasonably necessary to prevent the disclosure of Confidential Information and take all necessary measures to prevent any such unauthorized use and disclosure by its employees, agents, contractors, dealers or consultants and employee access must be limited to required employees only. Neither party may disclose Confidential Information to any third party for any purpose without obtaining prior written consent from the disclosing party. Any third party receiving Confidential Information must be bound by confidentiality terms similar to those provided in this Agreement. Neither party is permitted to copy or duplicate any Confidential Information except as reasonably necessary to pursue the objectives of this Agreement. Upon request by either party, the other party will return to or destroy all documents and other writings, together with all copies of any such documents or other writings, and an officer of the requested party will certify to the return or destruction of all tangible Confidential Information and references to such Confidential Information and the destruction of any references to such Confidential Information on electronic or other intangible media.

Intellectual Property Rights

Premium KPI respects and acknowledges the intellectual property rights of our users, affiliates, and select other third parties. We expect our users to respect and acknowledge the intellectual property rights of Premium KPI, as well, when using our services and site. If users infringe the copyright, trademark, or other intellectual property rights of others, then we reserve the right to take action - by suspending, limiting access to, or deleting accounts of users partaking in these acts, along with other necessary measures. If you believe that another user has infringed on your intellectual property rights, please contact us to info@premiumkpi.com and request that the content in question be removed or otherwise dealt with appropriately. The request must contain: physical or electronic signature of the owner of the infringed upon right; identification of the original work; identification of the infringing material; contact information like name, address, telephone number, and email address of the original content owner; and a statement from the original content owner explaining the infringement and stipulating that all information provided in the request is correct. Please send these requests to info@premiumkpi.com and we will take appropriate action after reviewing your request. If you would like to file a serious request, then it is advised that you first consult your lawyer or other legal advisor. There may be penalties for false claims or requests. If a user violates the intellectual property of others, then their account may be suspended or deleted by Premium KPI as we see fit. We may also remove the content in question and alert the offending individual.

Payments

You agree to pay the full price, without deductions or set-off of any kind, of any service or course from Premium KPI through our official payment platforms, PayPal, Stripe (credit or debit card), D-Local (Latin America local payments processor), bank transfer or in the modalities indicated at the time of sale. You will be responsible for paying any and all applicable taxes and wire transfer fees incurred in connection with our Services, including without limitation state and local, privilege, excise, sales, use and withholding taxes, but excluding taxes based upon the net income of Premium KPI. Premium KPI is under no obligation to offer any special payment term or the option to pay after an invoice is generated, this will be entirely at Premium KPI solely discretion. If Premium KPI grants you with a special payment term other than 100% upfront, you will pay the amount within five (5) days after the invoice issuance date by Premium KPI. Any invoice remaining unpaid for more than 10 days from the issuance date shall accrue interest at a rate of 5% (five percent) per month, that will have to be paid entirely by you. Failure to pay one of the installments, if the installment payment option is presented or agreed at the time of sale, will entitle Premium KPI to suspend full access to our services, the platform and all connected services until payment of the totality indicated at the time of the purchased is completed, plus charging an interest at a rate of 5% (five percent) per month, in case you want to resume the service. The partial payments, deposits or installments that you have made will not be returned, since they were used for used for the consumption of the service / material in the first access granted.

Taxes

All taxes that must be included by law will be displayed in the step prior to payment within the website or any other payment method previously agreed with Premium KPI. You will be responsible for paying any and all applicable taxes and wire transfer fees incurred in connection with our Services, including without limitation state and local, privilege, excise, sales, use and withholding taxes, but excluding taxes based upon the net income of Premium KPI.

Discounts

Premium KPI is under no obligation to offer any special discounts, this will be entirely at Premium KPI solely discretion.

Accepted Use Policy

While we do believe in freedom of speech and expression, we also want to ensure that all of our users, instructors and employees feel safe while using our site and services. When users participate in our services (even our online services), it is required that they follow specific guidelines. We reserve the right to remove or edit inappropriate content or behavior that we come across. We may suspend or remove a user’s access to our site and/or services. Users should feel free to report inappropriate content or behavior that they believe is offensive and should be removed/stopped. Premium KPI is not responsible for content that appears privately, for instance in private messages between clients, students and partners. In our community, it is not permitted for users to share content that: Includes illegal content or advertises illegal activities with intent to commit these activities. Involves threatening others or organizing violent acts. Content that references threats to public safety and risks of physical injury/harm or damaging of property will not be permitted. Harasses others. Abusive content directed at others will not be tolerated. Infringes on intellectual property, privacy, or other rights. It is important that you only share content that you are authorized to share. Claiming other users’ content as your own or misappropriating someone else’s intellectual property will not be permitted. Give credit to the original owner of the content when necessary. Is inappropriate for our site and/or services. For instance, promotional content that is irrelevant will be removed immediately. Violates the Terms of Use in any way Note: These stipulations for content are relevant to all Premium KPI events, properly catered to the situation. Users also are not permitted to: Violate national or international laws. Divulge or share access to their user account or password with any third party for any reason. Share confidential and proprietary information from our services, know-how and any tool we use to deliver our services. Share personal information on unauthorized channels, knowingly have another person create a profile for them, or put their access to the site and services at risk. Create a profile for another individual, try to access personal information of another user’s profile, or impersonate another user or entity. Reproduce, resell, shift, or misuse any content from our site, our services, or our affiliate sites (such as social media sites), unless they are explicitly granted permission. Attempt to access or hack our site or services (especially non-public areas), including the authentication and security measures we have in place. Purposefully try to interfere with our server, host, or network; this can include, but is not limited to, introducing a virus onto the site, purposefully overloading our server, or spamming our communication networks. Utilize our site or services to share or spread malware. Aid another user in completing any of the aforementioned prohibitions on this list.

BI Copilot, Support Services & Consulting Services – Premium KPI

Premium KPI does not provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the consultation provided by Premium KPI. Your use of any information or materials provided by Premium KPI is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services, information, or suggestions by Premium KPI meet your specific requirements. All payments will be in advance and the amounts are net to be received by Premium KPI, without any deduction of any kind. You will need to purchase at least ten (10) hours in advance to get access to our services. You can opt for a Pay-as-you-go plan without any further commitment. All hours utilized within our support plans will be deducted per minute increments, without minimum. Pay-as-you-go hours expire thirty (30) days from the date of purchase and are non-refundable. Monthly & Annual plans are not accumulative and expire thirty (30) days from the date of purchase and are non-refundable. You will have access to our support services as long as you maintain a paid subscription with an active balance. There are no free trials available for our Premium KPI BI Copilot & Support Services. For Monthly plans we will charge your Payment Method for your monthly BI Copilot & Support Services fee and your subscription will automatically renew monthly unless you cancel your subscription prior to the end of the billing period. To view the monthly subscription price and end date of your billing period, visit our website and click the “My Account” page inside help.premiumkpi.com. The subscription fee for the Premium KPI BI Copilot & Support Services or any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on a monthly basis to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your subscription until your subscription is cancelled. Subscription fees are fully earned upon payment. In some cases your payment date may change, for example if your Payment Method has not successfully settled or if your paid subscription began on a day not contained in a given month. Visit our website and click on the “Cancel” link on the “My Account” page inside help.premiumkpi.com to see your next payment date. We may authorize your Payment Method in anticipation of subscription or service-related charges through various methods, including authorizing it up to approximately one month of service as soon as you register. You can cancel your Premium KPI BI Copilot & Support Services at any time, and you will continue to have access to the Premium KPI Help Desk through the end of your monthly billing period. We do not provide refunds or credits for any partial-month membership periods. To cancel, go to the “My Account” page on our website help.premiumkpi.com, where you will need to log in with your billing email, select ‘Cancel’, and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period. To see when your account will close, click “Billing details” on the “My Account” page. Monthly Premium KPI BI Copilot & Support Services automatically renew each month at the stated retail price until the subscription buyer notifies the company that they wish to cancel. Premium KPI has no obligation to send you a previous email for your subscription renovation. Yearly Premium KPI BI Copilot & Support Services clients will be notified via email prior to renewal and the yearly subscription will automatically renew each year at the stated retail price until the subscription buyer notifies the company that they wish to cancel. Upon payment, you will get access to Premium KPI Help Desk site hosted at help.premiumkpi.com, where you will create a username and password, and where you will initiate all your support requests. Premium KPI will not be responsible to attend any support request generated outside our Help Desk site. Our Support Hours will be from Monday through Friday from 8 AM to 5 PM in the Universal Time Coordinate UTC-6 time zone. All our support services will be held online and remote only. If you need on-site support, you will have to send us an inquiry to info@premiumkpi.com and we will analyze your case to send you a separate invoice with travel expenses and dates. In case you need to schedule a virtual consultation, Premium KPI will agree on a scheduled date and time with you. In the event, you cancel a scheduled consultation with less than twenty-four (24) hours’ notice or otherwise fail to participate you agree that one (1) hour shall be forfeited and shall not be refundable. All our support services are bound to our Confidentiality Terms, inside this same Terms of Use section. By purchasing any of our services, you will be required to previously accept our Non Disclosure Agreement (NDA). You hold sole responsibility for any personal data, including medical data, classified information, or otherwise sensitive material. You agree to protect, defend, hold harmless and indemnify Premium KPI, any third party entity related to Premium KPI (including, without limitation, third party vendors), and Premium KPI executives, directors, officers, attorneys, managers, employees, consultants, contractors, agents, parent companies, subsidiaries, and affiliates, from and against any and all liabilities, losses, costs, judgments, damages, claims, or causes of action, including, without limitation, any and all legal fees and expenses, arising from the customer’s use of Premium KPI services. Premium KPI total cumulative liability, if any, to you or any third party, for any and all damages related to the terms of services or Premium KPI services, including, without limitation, those from any negligence, any act or omission by Premium KPI or its representatives, will be limited to, and will not exceed, the actual dollar amount paid for the consultation which gave rise to such damages, losses, and causes of action. All projects, designs and original source files created on Client’s behalf (“Projects”) belong to Client, and Client shall be the sole owner of the copyright for all Projects. In the event that any operation of law would cause Premium KPI to become the owner of a Project, in whole or in part, rather than Client, Premium KPI irrevocably and perpetually assigns its entire interest in the Project to Client, without limitation. Client warrants that any and all materials provided to Premium KPI as examples or as material to be incorporated into a project during the support process are owned by Client and do not infringe on or misappropriate any third party’s rights, including, but not limited to, all intellectual property rights and any right of publicity. Premium KPI reserves the right to deny refunds based on its own self discretion and without notice or liability to Client. Refund requests are assessed on a case by case basis. Should Client request a refund during the first month of use, all materials produced by Premium KPI are ownership of Premium KPI and are prohibited from being used by the Client in any way. If a refund is deemed to be appropriate, there will be a 25% fee assigned to the remaining billable period. Premium KPI reserves the right to take appropriate legal actions against Client for breach of this paragraph.

Training Services – Premium KPI Academy

When you participate in any Premium KPI Academy course, you are not in any way establishing a relationship with any of our sponsors or affiliates. Premium KPI course content may be accessed for the disclosed timeline once purchased, normally up to one year from your purchase. Access to the content will expire or end whenever stated on your dashboard, one year since the day of purchase.

Subscription Services – Premium KPI Academy

For Premium KPI Subscriptions and Memberships (collectively, our “Membership”), you will have a single, personal, limited, non-exclusive, non-transferable, and revokable access as long as you are current with your payments or until you decide to unsubscribe from your student account within our online platform at edu.premiumkpi.com. Your Premium KPI subscription or membership may start with a free trial. The free trial period of your membership lasts for one month, or as otherwise specified during sign-up and is intended to allow new and certain former members to try the service. Eligibility for free trial is determined by Premium KPI at its sole discretion and we may limit eligibility or duration to prevent free trial abuse. We reserve the right to revoke the free trial and put your account on hold in the event that we determine that you are not eligible. Members of households with an existing or recent Premium KPI membership or subscription are not eligible. We may use information such as device ID, method of payment or an account email address used with an existing or recent Premium KPI membership or subscription to determine eligibility. For combinations with other offers, restrictions may apply. We will charge your Payment Method for your monthly membership fee at the end of the free trial period and your membership will automatically renew monthly unless you cancel your membership prior to the end of the free trial period. To view the monthly membership price and end date of your free trial period, visit our website and click the “My Account” page inside edu.premiumkpi.com. The membership fee for the Premium KPI Membership or any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on a monthly basis to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your membership until your membership is cancelled. Membership fees are fully earned upon payment. In some cases your payment date may change, for example if your Payment Method has not successfully settled or if your paid membership began on a day not contained in a given month. Visit our website and click on the “Cancel” link on the “My Account” page inside edu.premiumkpi.com to see your next payment date. We may authorize your Payment Method in anticipation of membership or service-related charges through various methods, including authorizing it up to approximately one month of service as soon as you register. In some instances, your available balance or credit limit may be reduced to reflect the authorization during your free trial period. You can cancel your Premium KPI membership at any time, and you will continue to have access to the Premium KPI membership through the end of your monthly billing period. We do not provide refunds or credits for any partial-month membership periods. To cancel, go to the “My Account” page on our website edu.premiumkpi.com, select ‘Cancel’, and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period. To see when your account will close, click “Billing details” on the “My Account” page. Trial members will receive a notice from us that your trial period is ending or that the paying portion of your membership has begun. We will continue to bill your Payment Method on a monthly basis for your membership fee until you cancel. To cancel your subscription submit a ticket at info@premiumkpi.com. MMonthly Premium KPI Membership automatically renew each month at the stated retail price until the subscription buyer notifies the company that they wish to cancel. Premium KPI has no obligation to send you a previous email for your subscription renovation. Yearly Premium KPI Subscribers will be notified via email prior to renewal and the yearly subscription will automatically renew each year at the stated retail price until the subscription buyer notifies the company that they wish to cancel.

Scholarships – Premium KPI Foundation & Premium KPI Academy

The following terms apply to all Premium KPI and Premium KPI-affiliated scholarship programs. Please see the individual scholarship rules for additional eligibility criteria publicly listed in our site. Application to a Premium KPI scholarship program via Premium KPI Foundation constitutes an agreement to all of the following terms and conditions: Premium KPI Foundation is part of Premium KPI. Premium KPI Foundation and/or scholarship sponsors (“Sponsors”) may offer scholarships from time-to-time to the public or a portion thereof to be used toward Premium KPI Academy programs and courses. Eligibility criteria may vary per program and will be available on the individual scholarship web page. All eligibility criteria must be met by the application deadline. Scholarship awards are not redeemable or refundable for cash and may not be applied to any program other than the program for which the scholarship was awarded. Premium KPI will not be responsible for any taxes levied against the recipient by recipient’s government or taxing authority. Scholarship winners will be responsible for any additional educational expenses. Scholarship winners can only win one scholarship per scholarship contest or offering but may apply for multiple scholarships at the same time or at different times. All Scholarship awards are final and non-transferable. Applicant agrees that all information contained in the application is true to the best of the applicant’s knowledge, and that application materials that require demonstration of proficiency will be the original work of the applicant. Applicant acknowledges that names of scholarship winners may be listed on Premium KPI’s websites. If Premium KPI is partnering with a Sponsor, submitted applications and program performance data, including applicant information, may be shared with that Sponsor. Applicants consent to the sharing of this data. Applicants acknowledge that access to the Premium KPI platform is governed by all the Premium KPI Terms of Use and Privacy Policy. Premium KPI reserves the right to revoke awards if a winner no longer meets the eligibility criteria or if there if there is a breach of these or other Premium KPI terms. Premium KPI employees are ineligible to apply for any Premium KPI scholarship programs funded via Premium KPI Foundation or Sponsors. Applicant acknowledges that we only support a limited list of countries, publicly listed and available at our site inside the Premium KPI Foundation page. Applicant acknowledges and agrees that participation in a sponsored scholarship does not create any relationship, partnership, or privity with the Sponsor and applicant will hold Sponsor harmless in any dispute arising from the scholarship contest or offering. Applicant agrees that any dispute with Premium KPI regarding any scholarship contest or offering will be first addressed through negotiation in good faith, and, if no resolution results from that negotiation within thirty (30) days, then by arbitration administered solely by Premium KPI. Refunds for Courses – Premium KPI Academy

Should a student be terminated or called for any reason, refunds will be made according to the below listed refund schedule. A student who cancels within 7 days of signing the enrollment agreement but before an instructor-led live instruction begins receives all monies returned with the exception of the non-refundable registration fee. Thereafter, a student will be liable for: 1. The non-refundable registration fee of 4% of the total payment 2. The cost of any textbooks or supplies accepted plus 3. Tuition liability as of the student's last date of physical attendance If the termination occurs in less than 7 days of the initial date of the live training, Premium KPI will not issue any refund of any type. There will be no monetary refund available for students who paid for courses with an installments program. For online self-paced training – the one you use via our platform at edu.premiumkpi.com -, Premium KPI reserves the right, without notice and in its sole discretion, to give you a 2-day period from the date of your registration to request for a refund. Notice that if Premium KPI approves this refund, this will be a conditioned refund since you need a completion rate of less than 25% of the content of your course. If approved, all refunds will be issued with a deduction of a 4% fee for administrative charges for processing your request. If the approved refund or termination occurs in more than 2 days of the initial date of the self-paced training or you have consumed more than 25% of the available content, Premium KPI will not issue any refund of any type. You can not expect more than a 96% refund in any case. The only non-refundable value is Trial Fees that have been explicitly earmarked for certain Programs. At the time of purchase, you activate the box in which you declare to be in agreement with this terms and conditions, which will be understood as acceptance to waive the return of any amount after the refund period. Ignorance of these terms will not entitle you to demand any refund of the payment made. Premium KPI will not be responsible for any bank or transactional charges that are entered to the Client once the Refund has been approved. Premium KPI reserves the right to deny the request for Refunds for Online Services, if it detects that the customer has downloaded or made full use of the Online Services that they purchased. If the Client has made more than one Reimbursement within a 3-month period, any type of future Reimbursement request will be denied without the need to notify the Client. We reserve the right to deactivate the client's access, if he has incurred in payment failures or misinformation. Lack of relationship with other Premium KPI sites or academies

The services and training list of Premium KPI is only the one exposed under the domains www.premiumkpi.com, cf.premiumkpi.com, help.premiumkpi.com, blog.premiumkpi.com and edu.premiumkpi.com, consequently belonging to said sites will not give the user the possibility to enter other certified programs hosted in other domains that belong to Premium. In order to access our services and programs, you always must meet the requirements and payments required for other services or training.
